By accessing or using LocalSEOFlow (“the Service,” “the Platform,” or “we”), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must immediately stop using the Service.

LocalSEOFlow provides an AI-powered platform for image metadata management and Local SEO optimization, including but not limited to:

• EXIF/IPTC/XMP metadata reading, writing, and removal
• GPS geotagging of images
• AI-powered Local SEO tools (schema generation, GMB audits, keyword research, content creation)
• Image processing tools (conversion, compression, comparison)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

To access certain features, you must create an account. By creating an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately at support@localseoflow.com if you suspect unauthorized access
• Take responsibility for all activities that occur under your account

You may not share your account credentials with others. Each account is for a single user only, unless you have purchased a plan with multiple seats.

You agree to use LocalSEOFlow only for lawful purposes. The following are strictly prohibited:

• Uploading images you do not have the right to process or distribute
• Using the Service for illegal activities, including DMCA violations
• Attempting to circumvent plan limits or access restrictions
• Automating requests to the Service without prior written authorization (no scraping/bots)
• Reverse engineering, decompiling, or disassembling any part of the Service
• Using AI tools to generate spam, misleading content, or deceptive SEO tactics
• Uploading or processing illegal content (CSAM, malware, etc.)
• Engaging in any activity that disproportionately burdens our infrastructure

Violations may result in immediate account termination without refund.

Free Plan

The Free plan is provided at no charge with usage limits. We reserve the right to change free plan limits with 14 days’ notice.

Paid Plans (Pro & Ultra)

• Subscriptions are billed monthly or annually via Stripe
• You authorize us to charge your payment method on a recurring basis
• Prices are in USD and subject to applicable taxes
• Failed payments will be retried 3 times over 7 days before account downgrade

Cancellation & Refunds

• You may cancel at any time through your account dashboard
• Cancellation takes effect at the end of your current billing period
• Refunds are issued within 7 days of the first charge if requested and the account has minimal usage
• No prorated refunds for mid-period cancellations

Price Changes

We will provide 30 days’ advance notice of any price increases via email and platform notification.

Our Content

All intellectual property rights in LocalSEOFlow — including the platform, software, UI designs, AI models, and documentation — are owned by us or our licensors. Nothing in these Terms grants you ownership of any of our IP.

Your Content

You retain full ownership of all images and content you upload. We do not claim any rights to your files. By uploading content, you grant us a limited, temporary license to process it solely for the purpose of providing the Service.

AI-Generated Content

AI-generated output (schema markup, SEO content, metadata suggestions) is provided for your use. While you may use this output commercially, we make no warranties about its accuracy, and you are responsible for reviewing it before use.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of AI-generated content
• Guarantees of specific SEO results or ranking improvements
• Warranties that the Service will be error-free or uninterrupted

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LOCALSEOFLOW SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages resulting from AI-generated content you chose to publish

Our total aggregate liability to you for all claims shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

By You

You may terminate your account at any time by visiting your dashboard settings and selecting “Delete Account.” This will permanently delete your account data within 30 days.

By Us

We reserve the right to suspend or terminate your account immediately, without notice, if we determine that you have violated these Terms. In cases of non-payment or plan violation (not illegal activity), we will provide 7 days’ notice.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including IP rights, disclaimers, and limitations of liability.

These Terms are governed by the laws of the jurisdiction in which our company is registered, without regard to conflict of law provisions.

For EU/EEA users: If you are a consumer in the EU, you may also benefit from the mandatory provisions of the law of your country of residence, and from the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Any disputes should first be raised with us directly. We are committed to resolving disputes amicably before any formal action.

We may revise these Terms at any time. When we make material changes:

• We will update the “Last Updated” date
• Registered users will receive email notification 14 days before changes take effect
• Continued use after the effective date constitutes acceptance
